ICABS Solutions Terms and Conditions

These Terms and Conditions (“Terms”) govern access to and use of the iCabs Solutions mobile application, website, platform, and related services (collectively, the “Platform”). By downloading, registering for, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

1. About iCabs Solutions

iCabs Solutions (“iCabs,” “Company,” “we,” “us,” or “our”) is a transport technology platform operating in Kenya and offering services that may include ride-hailing and taxi services, scheduled transport services, car hire services, parcel delivery services, and related support and logistics services.

Depending on the service model, iCabs may act as a technology intermediary connecting users with drivers or vehicle providers, and in some cases may directly provide transport-related services through its own vehicles, agents, or contracted partners.

2. Eligibility

You may only use the Platform if you are at least 18 years old and legally capable of entering into a binding contract, or you are using the Platform under the supervision or authority of a parent, guardian, or authorized organization.

By using the Platform, you represent that the information you provide is true, accurate, current, and complete.

3. User Accounts

You may be required to create an account to use some or all features of the Platform. You agree to provide accurate registration details, keep your login credentials secure, promptly update your account information if it changes, and accept responsibility for activity under your account unless you notify us of unauthorized use.

We may suspend or terminate your account where there is fraud, misuse, unlawful conduct, safety risk, non-payment, or breach of these Terms.

4. Services

Ride Services: iCabs enables users to request transport services through the Platform. Trip availability depends on driver availability, service area, time, vehicle type, compliance requirements, and other operational factors.

Car Hire Services: Where available, iCabs may offer car hire services, including self-drive or chauffeur-driven options, subject to separate booking conditions, vehicle availability, verification, deposits, and lawful use restrictions.

Parcel Delivery: Users may request parcel transport subject to lawful contents, safe packaging, and route availability. iCabs may refuse prohibited, dangerous, illegal, or improperly packaged items.

5. Booking and Trip Information

Before a ride begins, the Platform may display information including the driver's name, vehicle details, vehicle registration number, estimated fare, and other trip information.

Users are responsible for confirming that the trip and driver details shown in the app match the vehicle and driver at pickup.

6. Fares, Charges, and Payment

Fares and charges may be calculated based on distance, time, demand, waiting time, route, tolls, parking, airport fees, service category, and other disclosed pricing factors.

By requesting a trip or service, you agree to pay all applicable charges shown or reasonably incurred for the booking.

Payment may be made using supported methods including cash, card, mobile money, digital wallet, or any other payment channel made available on the Platform.

Where applicable, users may also be charged for cancellations, waiting time, cleaning costs caused by misuse, damage to the vehicle or property, tolls, levies, parking, or access fees, and other lawful fees disclosed at or before the time of service.

Receipts may be issued electronically through the Platform, by SMS, email, or other available means.

7. Driver and Vehicle Provider Terms

Drivers and vehicle providers using the Platform must:

  • Hold all valid licences, permits, authorizations, and insurance required by law
  • Ensure that the vehicle is roadworthy, safe, and lawful to operate
  • Provide truthful onboarding and compliance information
  • Comply with traffic laws, safety rules, and applicable platform policies
  • Behave respectfully and professionally toward riders and other users
  • Avoid discrimination, harassment, intimidation, or unlawful conduct

Drivers must not operate under the influence of alcohol, narcotics, or any impairing substance; permit unauthorized persons to use their account; misuse rider data or contact details; carry unlawful goods or aid unlawful conduct; or engage in unsafe or abusive behavior.

We may suspend or permanently deactivate a driver or vehicle account for safety concerns, fraud, repeated complaints, legal non-compliance, misconduct, or breach of these Terms.

8. User Conduct

You agree not to use the Platform for unlawful, fraudulent, or abusive purposes; provide false pickup, destination, or identity information; interfere with the Platform or other users; harass, assault, threaten, or abuse any driver, rider, employee, or third party; damage, soil, or steal from any vehicle; send prohibited, illegal, hazardous, or dangerous items through the parcel service; or use the Platform in a way that violates Kenyan law.

We reserve the right to deny service, cancel bookings, or suspend accounts where user conduct creates legal, safety, or operational risk.

9. Contact Between Users and Drivers

To facilitate pickups, deliveries, support, and trip coordination, iCabs may enable the exchange of certain contact details between the customer and the assigned driver, or between the driver and the customer.

You agree that any contact details shared through the Platform shall be used only for service-related communication unless the data subject has separately consented to another use.

10. Car Hire Terms

Where car hire services are offered, the hirer agrees to use the vehicle only for lawful purposes; not to lend, sublet, assign, or allow unauthorized drivers to use the vehicle; to return the vehicle in agreed condition, subject to fair wear and tear; to report accidents, theft, damage, police incidents, and mechanical issues immediately; and to pay rental charges, deposits, excess, fines, penalties, parking charges, fuel adjustments, towing, or damage-related costs where applicable.

Additional booking-specific terms may apply to car hire and shall form part of the contract for that service.

11. Parcel Services

The sender is responsible for ensuring the parcel is lawful, safe, and properly packaged; accurately describing the parcel where required; ensuring correct sender and recipient details; and complying with all laws relating to transported goods.

iCabs may refuse or cancel a parcel order where contents are illegal, unsafe, restricted, or unsuitable for transport.

12. Commission and VAT

For drivers, vehicle providers, or other service partners using the Platform, iCabs may charge a commission for use of the Platform and related services.

12.1 iCabs Taxi

Unless otherwise agreed in writing, iCabs commission shall be capped at 18% of the total ride cost, subject to any approved discount, promotion, incentive, or alternative commercial arrangement. Where VAT is included within that 18% commission, iCabs shall account for and remit the VAT from that commission amount. Where VAT is charged on top of the 18% commission, the total deduction shall be 18% plus applicable VAT on the commission.

At the current Kenyan general VAT rate of 16%, VAT charged on top of an 18% commission results in an effective deduction of 20.88%, which may be rounded commercially to approximately 21%, but the exact statutory computation shall prevail.

Drivers and partners remain responsible for their own tax affairs except where the parties expressly agree otherwise in writing.

13. Cancellations and Refunds

Bookings may be cancelled subject to cancellation rules displayed in the Platform or communicated at the time of booking.

Refunds, partial refunds, credits, or fare adjustments may be granted at iCabs' discretion in cases including duplicate payment, proven overcharge, technical error, failed service delivery, or a valid complaint upheld after review.

We may investigate suspicious, fraudulent, or disputed transactions before issuing any refund.

14. Safety, Lost Property, and Support

iCabs may maintain support channels for complaints, safety issues, lost property reports, and service follow-up.

If property is left in a vehicle, iCabs may assist in coordinating recovery, but does not guarantee that lost items will be found or returned.

Users should report emergencies, accidents, criminal activity, or injury immediately to the police, emergency services, and any relevant authorities, in addition to notifying iCabs where appropriate.

15. Privacy

Your use of the Platform is also governed by the iCabs Solutions Privacy Policy, which explains how personal data is collected, used, disclosed, stored, and protected.

16. Disclaimers

The Platform and services are provided on an “as available” and “as is” basis, subject to applicable law. While iCabs takes reasonable steps to promote safety, reliability, and lawful operation, we do not guarantee uninterrupted Platform availability; that every ride, car hire, or parcel request will be accepted; error-free software performance; or that delays, accidents, theft, or losses will never occur.

17. Limitation of Liability

To the fullest extent permitted by law, iCabs shall not be liable for any indirect, incidental, consequential, special, or punitive loss arising out of or related to use of the Platform or services.

To the fullest extent permitted by law, iCabs shall not be responsible for loss, theft, delay, damage, accident, injury, or misconduct caused by third parties, independent drivers, other users, criminal acts, road conditions, force majeure events, or circumstances beyond our reasonable control.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded under applicable law.

18. Indemnity

You agree to indemnify and hold harmless iCabs, its officers, directors, employees, agents, contractors, and affiliates against any claims, liabilities, losses, costs, and expenses arising from your breach of these Terms, your unlawful conduct, your negligent acts or omissions, misuse of the Platform, or violation of the rights of any third party.

19. Suspension and Termination

We may suspend, restrict, or terminate access to the Platform immediately where necessary for safety, fraud prevention, legal compliance, service integrity, or enforcement of these Terms.

You may stop using the Platform at any time, but any accrued obligations remain payable.

20. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from these Terms or the use of the Platform shall first be addressed through good-faith efforts to resolve it directly with iCabs. If unresolved, the dispute may be referred to mediation, arbitration, or the courts of competent jurisdiction in Kenya, subject to applicable law.

21. Changes to These Terms

We may amend these Terms from time to time. Updated terms may be published in the app, on our website, or through other communication channels. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
